Terms of Service

1. Acceptance of Terms

By accessing or using Subclip's video editing application and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Subclip ("we," "our," or "us"). We may update these Terms from time to time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Subclip provides a desktop video editing application with automatic caption generation capabilities for macOS systems with M1 processor or newer. Our Service includes:

  • Desktop application for video editing and caption generation
  • Web-based dashboard for license management and account administration
  • Social Media Scheduler for scheduling and publishing videos to connected platforms (e.g., YouTube) using third-party API services
  • AI-powered metadata generation for video titles, descriptions, and tags
  • License activation and validation services
  • Customer support and documentation

All video processing occurs locally on your device. We do not store or access your video content on our servers.

3. Account Registration and Security

3.1 Account Creation

To use our Service, you must create an account using Google Sign-In. By creating an account, you represent that:

  • You are at least 18 years old or have parental consent
  • The information you provide is accurate and complete
  • You will maintain the accuracy of your account information
  • You are legally capable of entering into this agreement

3.2 Account Security

You are responsible for maintaining the security of your account and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. License and Subscription

4.1 License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to use the Service for your personal or commercial use in accordance with these Terms.

4.2 License Activation

Your license is tied to specific devices through our activation system. You may activate the Service on a limited number of devices as specified in your license plan. License transfers between devices may be subject to limitations.

4.3 Payment and Billing

  • License purchases are one-time payments (no subscriptions) processed through our secure payment partner, Polar.sh
  • All sales are final unless otherwise specified in our refund policy below
  • You are responsible for all charges incurred under your account
  • Refunds are available in accordance with our refund policy outlined in Section 4.4

4.4 Refund Policy

We offer a 15-day satisfaction guarantee. If you are not satisfied with your purchase, you may request a full refund by contacting us at contact@subclip.app within 15 days of your purchase date.

  • Refund requests must be submitted within 15 days of purchase
  • Refund requests must be sent to contact@subclip.app with your purchase details
  • Refunds will be processed within 10 business days after approval
  • Once a refund is processed, your license will be deactivated
  • Refund requests after 15 days will not be accepted

4A. YouTube Integration and API Services

Subclip's Social Media Scheduler feature uses YouTube API Services to upload and publish videos on your behalf. By connecting your YouTube account and using this feature:

4A.1 Agreement to YouTube Policies

  • You agree to be bound by the YouTube Terms of Service.
  • You acknowledge that Google's Privacy Policy applies to data processed by YouTube API Services.
  • You are responsible for ensuring that any videos you schedule and publish comply with YouTube's Community Guidelines and applicable copyright laws.

4A.2 YouTube Permissions (OAuth Scopes)

When you connect your YouTube channel, Subclip requests the following Google OAuth permissions:

  • youtube.readonly β€” Read your channel name, profile picture, and list your existing videos. Used to display your channel in the dashboard and to provide context for AI-powered metadata generation.
  • youtube.upload β€” Upload video files to your YouTube channel. Only exercised when you explicitly schedule a video for publishing through Subclip.
  • youtube β€” Manage video metadata (title, description, tags, category, privacy status, and custom thumbnail) for videos published through Subclip. Required by the YouTube Data API to set metadata during upload.

Subclip will never use these permissions to delete your existing videos, modify videos not scheduled through Subclip, access your comments or subscriber data, post comments, or perform any action beyond what is described above.

4A.3 Your Grant of Permission

  • You grant Subclip permission to upload videos and set metadata (title, description, tags, thumbnail, privacy status, category) on your YouTube channel as instructed by you through the scheduling interface.
  • You acknowledge that scheduled videos will be uploaded automatically at the date and time you specify, even if you are not actively using Subclip at that moment.
  • You are solely responsible for the content of videos you schedule. Subclip does not review, moderate, or alter your video content before publishing.

4A.4 Data Handling

For full details on how we collect, store, protect, and delete your YouTube data, please see Section 4A of our Privacy Policy. Key points:

  • OAuth tokens are stored encrypted at rest and are never exposed in client-side code.
  • Video files are temporarily stored in a private, encrypted storage bucket and automatically deleted after successful publication to YouTube.
  • We do not share, sell, or transfer your YouTube data to any third party.

4A.5 Revoking YouTube Access

You may revoke Subclip's access to your YouTube account at any time:

  • From the Subclip dashboard: Go to Social Media in the sidebar and click the Disconnect button next to your YouTube channel. This immediately deletes all stored tokens, channel data, and pending scheduled videos.
  • From Google: Visit Google Account Permissions, find "Subclip," and click Remove Access.

Once access is revoked, Subclip can no longer upload videos, read your channel data, or perform any actions on your YouTube account. Any pending scheduled videos that have not yet been published will be cancelled.

4A.6 Limitation of Liability for YouTube Actions

Subclip is not responsible for any actions taken by YouTube on your channel, including but not limited to content removal, copyright strikes, community guideline strikes, demonetization, or account suspension resulting from videos you publish through our Service. You are solely responsible for ensuring your content complies with all applicable YouTube policies and laws.

5. Acceptable Use

5.1 Permitted Use

You may use the Service for lawful purposes in accordance with these Terms. You may create, edit, and export videos using the Service for personal or commercial purposes.

5.2 Prohibited Use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any applicable laws or regulations
  • Infringe upon the rights of others, including intellectual property rights
  • Attempt to reverse engineer, decompile, or disassemble the software
  • Share, distribute, or resell your license or access credentials
  • Use the Service to create content that is harmful, offensive, or violates others' rights
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service

6. Content and Intellectual Property

6.1 Your Content

You retain all rights to the video content you create, edit, or process using the Service. You are solely responsible for ensuring you have the necessary rights to use any content you upload or process.

6.2 Our Intellectual Property

The Service, including the software, documentation, and all related intellectual property, is owned by Subclip and is protected by copyright, trademark, and other intellectual property laws.

6.3 Third-Party Content

The Service may include third-party content or integrate with third-party services. Such content is subject to the respective third parties' terms and conditions.

7. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information when you use the Service. By using the Service, you agree to the collection and use of information in accordance with our Privacy Policy.

8. Disclaimers and Limitations

8.1 Service Availability

We strive to maintain the availability of the Service, but we do not guarantee that the Service will be available at all times. The Service may be temporarily unavailable due to maintenance, updates, or technical issues.

8.2 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SUBCLIP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

9. Indemnification

You agree to indemnify, defend, and hold harmless Subclip and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Service or violation of these Terms.

10. Termination

10.1 Termination by You

You may terminate your account at any time through the dashboard or by contacting our support team. Please note that license purchases are non-refundable after the 15-day refund period specified in Section 4.4.

10.2 Termination by Us

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or for any other reason at our discretion.

10.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. You remain responsible for any charges incurred before termination.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

11.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Service will be resolved through the appropriate courts in India. You agree to submit to the jurisdiction of Indian courts for any legal proceedings.

12. Miscellaneous

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Subclip regarding the Service.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

12.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

12.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
